             Appointment of Certain Officers; Compensatory Arrangements of
             Certain Officers.

On August 4, 2022, Phoenix Motor Inc. (the "Company") received the resignation of Mr. Ron V. Iacobelli ("Mr. Iacobelli") as Chief Technology Officer of the Company effective August 18, 2022. Mr. Iacobelli's resignation was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.

The Company appreciates the services of Mr. Iacobelli and is actively looking for a person to fill his position.
