PINTEC to Invest in XBN, a China-based Cross-border E-commerce Platform

On August 16, 2021, Pintec Technology Holdings Limited ('PINTEC' or the 'Company') entered into an investment agreement pursuant to which it agreed to invest a minority interest in Beijing Xiao Benniao Information Technology Co., Ltd. (the 'XBN') for a cash consideration of RMB100 million. Founded in 2015, XBN is a PRC company that operates a cross-border e-commerce platform with comprehensive foreign trade services.

The transaction is subject to the completion of the requisite corporate and other approvals and customary closing conditions. There can be no assurance that the transaction will be consummated in a timely manner, at all.
