Declares Quarterly Dividend of $0.60 Per Share
MINNEAPOLIS-July 29, 2022-Piper Sandler Companies (NYSE: PIPR), a leading investment bank, today announced its results for the second quarter of 2022.
"We delivered a solid quarter with over $345 million of net revenues against a challenging market backdrop, highlighting the benefits and durability of our diversified and scaled business," said Chad R. FINANCIAL & BUSINESS HIGHLIGHTS
•Revenues for the second quarter of 2022 were driven by solid performances across most of our businesses.
•Corporate investment banking revenues of $199 million for the second quarter of 2022 were led by our financial services group with meaningful contributions from consumer, healthcare, energy & power, and diversified industrials & services.
•Municipal financing revenues of $35 million for the second quarter of 2022 increased 29% from the sequential quarter; the diversification of our franchise, both in the governmental space and specialty sectors, continues to drive strong relative performance.
•Institutional brokerage revenues of $105 million for the second quarter of 2022 represented our second strongest quarter on record highlighting the benefits of our more scaled and diversified platform, including early success from the acquisition of Cornerstone Macro.
STRATEGIC UPDATES
•On June 10, 2022, we completed the acquisition of Stamford Partners LLP, a London-based specialist M&A boutique offering investment banking services to European food & beverage and related consumer sectors.
•On July 6, 2022, we announced the pending acquisition of DBO Partners, an independent technology investment banking firm in the San Francisco Bay Area.
•Will add 23 professionals, including seven partners, to our platform.
•We expect will significantly accelerate our growth in technology investment banking, a key strategic priority; and will add general partner advisory services as a new capability.
•The acquisition is expected to close in the fourth quarter of 2022 subject to customary closing conditions and regulatory approval.
TALENT
•Increased for the eleventh consecutive quarter our corporate investment banking managing director headcount on a net basis to 153.
•Added two investment banking managing directors to strengthen our restructuring practice.
•Hired a managing director within technology investment banking to lead our mobility technology vertical.
•Expanded diversified industrials & services investment banking with the addition of a managing director focused on transportation & logistics.
CAPITAL
•Declared a quarterly cash dividend of $0.60 per share of common stock on July 29, 2022 to be paid on September 9, 2022 to shareholders of record as of August 26, 2022.
•During the second quarter of 2022, we repurchased approximately 418,000 shares, or $50 million, of the company's common stock at an average price of $120.39 per share.
•Returned an aggregate of $254 million to shareholders during the first half of 2022 through share repurchases and dividends.

Net revenues
For the second quarter of 2022, net revenuesof $352.2 million were essentially flat compared to the first quarter of 2022 and decreased 31% compared to the second quarter of 2021.
Investment banking revenues of $234.1 million for the second quarter of 2022 decreased 9% compared to the first quarter of 2022 and 40% compared to the second quarter of 2021.
•Advisory services revenues of $169.7 million for the second quarter of 2022 decreased 20% compared to the first quarter of 2022 and 32% compared to the second quarter of 2021 driven by fewer completed transactions and a lower average fee. Performance during the current quarter was led by the financial services group with broad contributions from most of our industry teams. Our backlog of mandates is strong, however the macroeconomic uncertainty is prolonging transaction timelines and increasing deal risk.
•Corporate financing revenues of $29.2 million for the second quarter of 2022 increased 52% compared to the first quarter of 2022 driven by more completed equity financings. Consistent with the market, revenues for the current quarter decreased 71% compared to the second quarter of 2021 which included near-record levels of activity. Our performance during the quarter was led by both our financial services and healthcare teams. The overall market for equity capital raising continues to remain largely shut as the result of high levels of market volatility, declining valuations and a cautious investor outlook stemming from economic concerns and geopolitical risks.
•Municipal financing revenues of $35.2 million for the second quarter of 2022 increased 29% compared to the first quarter of 2022 driven by solid execution within our governmental business. Compared to the second quarter of 2021, revenues for the current quarter were essentially flat despite the decline in market issuance resulting from less refinancing activity reflecting our strong relative performance. Activity during the current quarter was driven by our governmental business and specialty sectors highlighting the continued benefits of our diversified franchise.

Institutional brokerage revenues of $104.9 million for the second quarter of 2022 were essentially flat compared to the first quarter of 2022 and increased 10% compared to the second quarter of 2021.
•Equity brokerage revenues of $51.4 million for the second quarter of 2022 increased modestly compared to the first quarter of 2022 and 47% compared to the second quarter of 2021, and represent our strongest quarter on record. Volatility remained elevated during the second quarter of 2022 leading to increased client activity compared to the second quarter of 2021. In addition, our performance during the second quarter of 2022 reflects a full quarter with Cornerstone Macro on our platform.
•Fixed income services revenues of $53.6 million for the second quarter of 2022 were essentially flat compared to the first quarter of 2022 as we continue to benefit from our broad product offerings and diverse client base which drove solid activity despite market volatility. Revenues decreased 12% compared to the second quarter of 2021 due to lower client activity resulting from interest rate volatility and expectations for continued tightening of monetary policy.
Investment income/(loss) for the second quarter of 2022 was income of $10.9 million compared to a loss of $13.1 million for the first quarter of 2022 and income of $26.7 million for the second quarter of 2021. The current and prior periods include amounts attributable to noncontrolling interests. For the current and prior quarters, investment income or loss primarily related to our merchant banking portfolio.
Non-Interest Expenses
For the second quarter of 2022, non-interest expenses of $315.0 million were flat compared to the first quarter of 2022 and decreased 20% compared to the second quarter of 2021.
•Compensation ratio of 68.1% for the second quarter of 2022 decreased compared to the first quarter of 2022 on a consistent net revenue base driven by increased revenues from noncontrolling interests. The compensation ratio increased compared to the second quarter of 2021 as a result of lower net revenues as well as a shift in mix of business.
•Non-compensation expenses of $75.1 million for the second quarter of 2022 increased 12% compared to the first quarter of 2022 and 8% compared to the second quarter of 2021. Non-compensation expenses for the current quarter increased primarily from higher marketing and business development expenses associated with increased travel as well as higher professional fees related to recruiting. In addition, reimbursed deal-related expenses for the second quarter of 2022 increased compared to the sequential quarter.
Pre-Tax Income
For the second quarter of 2022, pre-tax income of $37.2 million increased compared to $35.6 million for the first quarter of 2022 and decreased compared to $114.1 million for the second quarter of 2021.
•Pre-tax margin of 10.6% for the second quarter of 2022 increased compared to 10.2% for the first quarter of 2022 on a consistent net revenue base due to a lower compensation ratio offset in part by higher non-compensation expenses. Pre-tax margin decreased compared to 22.4% for the second quarter of 2021 resulting from lower net revenues and a higher compensation ratio.
Effective Tax Rate
For the second quarter of 2022, the effective tax rate of 25.3% decreased compared to 30.8% for the first quarter of 2022 and increased compared to 23.7% for the first quarter of 2021. The effective tax rate is impacted by the level of noncontrolling interests, the amount of non-deductible expense, and restricted stock awards vesting at values greater or less than the grant date price.
Net Income & Earnings Per Share
For the second quarter of 2022, we generated net income of $21.4 million, or $1.26 per diluted common share. Results for the current quarter decreased compared to the first quarter of 2022 driven by higher non-compensation expenses. Results decreased compared to the second quarter of 2021 due to lower net revenues and pre-tax margin, as well as a higher effective tax rate.

Adjusted Net Revenues
For the second quarter of 2022, adjusted net revenues of $345.6 million reflect solid performances across most our businesses despite more challenged markets. Adjusted net revenues decreased 4% compared to the first quarter of 2022 due to lower advisory revenues offset in part by solid municipal financing and institutional brokerage revenues, as well as increased corporate financing activity. Adjusted net revenues decreased 30% compared to the exceptionally strong second quarter of 2021 due to lower advisory revenues and historically low equity financing activity. For the second quarter of 2022, investment banking generated 68% of total adjusted net revenues and institutional brokerage generated 30%.
Adjusted Operating Expenses
For the second quarter of 2022, adjusted operating expenses of $285.1 million were essentially flat compared to the first quarter of 2022 and decreased 20% compared to the second quarter of 2021.
•Adjusted compensation ratio of 62.7% for the second quarter of 2022 increased compared to 62.5% for the first quarter of 2022 and 60.7% for the second quarter of 2021. The adjusted compensation ratio for the current quarter was higher as a result of lower adjusted net revenues and a continued focus on investing in the business.
•Adjusted non-compensation expenses of $68.3 million for the second quarter of 2022 increased 13% compared to the first quarter of 2022 and 19% compared to the second quarter of 2021 primarily resulting from increased marketing and business development expenses related to employee travel and higher professional fees associated with recruiting. In addition, non-compensation expenses in the current quarter reflect a full quarter of Cornerstone Macro on our platform.
Adjusted Operating Income
For the second quarter of 2022, adjusted operating income of $60.5 million decreased 20% compared to the first quarter of 2022 and 56% compared to the second quarter of 2021.
•Adjusted operating margin of 17.5% for the second quarter of 2022 decreased compared to 20.8% for the first quarter of 2022 and 27.7% for the second quarter of 2021 driven by lower adjusted net revenues and higher adjusted non-compensation expenses.
Adjusted Effective Tax Rate
For the second quarter of 2022, the adjusted effective tax rate of 25.2% increased compared to 23.1% for the first quarter of 2022 which included a $4.6 million benefit to adjusted income tax expense related to restricted stock vesting at values greater than the grant date price. The adjusted effective tax rate decreased compared to 26.6% for the second quarter of 2021 driven by lower non-deductible expenses as well as higher tax-exempt interest.
Adjusted Net Income & Adjusted Earnings Per Share
For the second quarter of 2022, we generated adjusted net income of $44.1 million, or $2.47 of adjusted earnings per diluted common share. Results for the current quarter decreased compared to the first quarter of 2022 and the second quarter of 2021 driven by lower adjusted net revenues and a lower adjusted operating margin.
CAPITAL
Dividends
On July 29, 2022, our Board of Directors declared a quarterly cash dividend on the company's common stock of $0.60 per share to be paid on September 9, 2022, to shareholders of record as of the close of business on August 26, 2022.
During the second quarter of 2022, we paid a quarterly cash dividend of $0.60 per share of common stock, for an aggregate of $8.4 million. For the first half of 2022, we returned an aggregate of $90 million, or $5.70 per share of common stock, to shareholders through quarterly cash dividends and a special cash dividend, which was paid in the first quarter of 2022.

Share Repurchases
During the second quarter of 2022, we repurchased approximately 418,000 shares, or $50 million of the company's common stock, at an average price of $120.39 per share. The majority of these shares were repurchased pursuant to our share repurchase authorization.
During the first half of 2022, we repurchased approximately 1,068,000 shares of the company's common stock, at an average price of $133.79 per share, pursuant to our share repurchase authorization. We also repurchased approximately 139,000 shares of the company's common stock, at an average price of $152.86 per share, from restricted stock award recipients selling shares upon the award vesting to meet their employment tax obligations. The aggregate amount of approximately 1,207,000 shares, or $164.2 million, was repurchased at an average price of $135.98 per share.
