Pirelli & C S p A : Cs Pirelli Adempimenti ex RE Consob 30 9 2020

Milan, 30 September 2020 - In compliance with the Regolamento Emittenti (Issuers' Regulation) approved by Consob with resolution 11971/99 ('RE') the following is attached:

- extract ex art. 130 RE of the Renewal of the New Shareholders' Agreement signed on August 1, 2019 and effective since April 28, 2020 between China National Chemical Corporation ('CC'), China National Tire & Rubber Corporation ('CNRC') Ltd., Silk Road Fund Co. Ltd. ('SRF'), CNRC International (HK) Limited, CNRC International Holding (HK) Limited, Fourteen Sundew S.à r.l., Marco Polo International Italy S.r.l., Camfin S.p.A. and Marco Tronchetti Provera & C. S.p.A..

The extract of the Renewal of the New Shareholders' Agreement was updated on 30 September 2020 to reflect in the text the effectiveness of the already announced non-proportional and asymmetrical partial split operation of Marco Polo International Italy S.r.l. ('Marco Polo') in favor of PFQY S.r.l. ('PFQY', company controlled by SRF), as a result of which Marco Polo assigned to PFQY, inter alia, 90,212,508 shares of Pirelli & C. S.p.A. already conferred to the agreement (the 'Split'). Following the Split, the total number of shares conferred by subscribers to the agreement was unchanged. Always following the Split, as reported in the attached announcement published on 1 October 2020 in accordance with art. 129 RE:

- the Equity Investment Agreement for Co-Involvement and Investment in Acquisition of Pirelli, the Supplemental Agreement of the Equity Investment for Co-Involvement and Investment in Pirelli, as subsequently modified on April 28, 2020, and the Second Supplemental Agreement of the Equity Investment for Co-involvement in Pirelli stipulated, respectively, on June 5, 2015, July 28, 2017 and August 7, 2018 between CNRC, CC e SRF have ceased to have any effect;

- the essential information ex art. 130 of the Issuers' Regulation has been updated relative to the 'Revised Acting-in-Concert Agreement', signed on April 28, 2020 between CNRC and SRF, which superseded and substituted the ''Acting-in-Concert Agreement' signed on July 28, 2017 between the same parties. The above accords contain shareholder agreements pertaining to Pirelli & C. S.p.A.. The above documentation is also available at the Company website www.pirelli.com.
