Powszechna Kasa Oszczednosci Bk Plski : Report No. 1/2019 – Registration of the amendments to the Articles of Association of PKO Bank Polski S.A.

Legal basis:

Paragraph 5 point 1 of the Ordinance of the Minister of Finance of 29 March 2018 on current and periodic information published by issuers of securities and on conditions under which such information may be recognised as being equivalent to information required by the regulations of law of a state which is not a member state.

The report:

The Management Board of PKO Bank Polski S.A. ('Bank') hereby informs that the Bank learnt that the District Court for the Capital City of Warsaw in Warsaw, 13th Commercial Division of the National Court Register on 9 January 2019 registered the amendments to the Bank's Articles of Association, adopted by the resolution No. 33/2018 of the Annual General Meeting on 18 June 2018.

The Bank's Articles of Association were amended as follows:

1. § 4.1 point 9) letter e) received the following wording:

'e) enabling the acceptance of payment instruments and carrying out payment transactions, initiated by the payment instrument of the payer by the acceptor or through his agency, which consist of, in particular, servicing the authorization, sending the payer's or the acceptor's payment orders to the issuer of the payment instrument or payment systems, aimed at transferring the funds due to the acceptor;';

2. in § 4.1 point 9) after letter f) the following wording of letters g) - h) was added:

'g) providing a service which consists of initiating a payment transaction;

h) providing a service which consists of offering access to information about an account,'.
