Announcement regarding Transition to the Consolidated Statement and

Notice of Consolidated Earnings Forecast for the Fiscal Year Ending September 30, 2021

As of the fourth quarter of the fiscal year ending September 30, 2021, PLAID, Inc. (the Company) will transit to the consolidated statement. In line with this change, the Company announces a full- year consolidated earnings forecast for the fiscal year ending September 30, 2021 (October 1, 2020 to September 30, 2021) as below.

1. Transition to the Consolidated Statement

As detailed in the "Announcement regarding Acquisition of Emotion Tech, Inc. as a Subsidiary

through Acquisition of Shares and Underwriting Capital Increase by Third Party Allotment and Notice of Posting an Extraordinary Income (Gain on Step Acquisitions) and a Non-operating Expense (Other Acquisition Expenses)" announced on August 27, 2021, the Company will transit to the consolidated statement from the fourth quarter of the fiscal year ending in September 30, 2021 due to the acquisition of Emotion Tech as a subsidiary of the Company.

Note: Because the Company starts to create the consolidated statements from the fourth quarter of the fiscal year ending September 30, 2021, the amount of change from the previous period is omitted.

3. Overview of Consolidated Earnings Forecast

The Company plans to acquire Emotion Tech as a consolidated subsidiary, with a deemed acquisition date of September 30, 2021. During this consolidated accounting period, the Company only plans to consolidate Emotion Tech's balance sheet, however, consolidation adjustments regarding other acquisition expenses of 21 million yen and gain on step acquisitions of 75 million yen, will be made in the consolidated statements of income, and the above consolidated earnings forecast represents figures that include these adjustments. Non-consolidated earnings forecast is not changed.
