POSITIVO TECNOLOGIA S.A. Notice to the Market
Curitiba, June 26, 2018 - POSITIVO TECNOLOGIA S.A. ('Company'), pursuant to the provisions of CVM Instruction 358, hereby announces to its shareholders and the market in general that Hi Technologies S.A., a firm in which the Company has a 50% stake, signed an agreement through which it will receive an investment totaling R$14.7 million from the investors Monashees and Qualcomm Ventures ('Transaction').
The Transaction establishes the creation of a holding company based in Cayman Islands, named Hi Technologies Holding Ltd., as well as a company in Delaware (USA), named Hi Technologies LLC, which will hold 99.99% of Hi Technologies S.A. in Brazil.
The table below shows the ownership structure of Hi Technologies Holding Ltd. before and after the entry of the new investors:

As agreed in the Transaction, part of the shares of Hi Technologies Holding Ltd. will be held in treasury, creating an option pool, to be used in future plans of share-based compensation.
The Company believes that the Transaction benefits Hi Technologies, by providing greater financial robustness to support its expansion, as well as making it easier to carry out any future rounds of funding abroad.
