On November 30, 2022, Power Corporation of Canada filed a management proxy circular soliciting proxies and urged the shareholders to vote against the shareholder proposals: (1) requesting a formal employee representation in strategic decision-making; (2) requesting a report on the representation of women in management, from entry level to top level, reporting directly to the President; (3) requesting that French be the Corporation's official language; and (4) requesting the adoption of a policy on majority withhold votes for the election of directors, submitted by Mouvement d'éducation et de défense des actionnaires (MÉDAC) at the Company's annual shareholders meeting.
