On January 21, 2021, the Trust issued a press release regarding the extension of time for the closing on the Rights Offering. A copy of the press release is attached hereto as Exhibit 99.1. The information contained in Item 7.01 of this report, including Exhibit 99.1, is being furnished and shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section. Item 8.01 Other Events.

Pursuant to an S-11 Registration Statement filed with the Securities and Exchange Commission which was declared effective on December 29, 2020, Power REIT (the "Trust") has commenced a Rights Offering to sell up to 2,022,139 of its Common Shares to shareholders of record on December 12, 2020 (the "Rights Offering"). Pursuant to the Rights Offering, the closing on the Rights Offering is scheduled for January 22, 2021. Power REIT, however, has the ability to extend the closing date up to a total of 14 days and has determined to extend the closing date to January 29, 2021.
