PowerSchool Holdings, Inc. (NYSE:PWSC) agreed to acquire Chalk.com Education Inc. for $13.5 million in April, 2022. The total purchase price for Chalk was $13.5 million, which included $10.4 million of cash and additional contingent cash consideration $3.1 million payable based on the achievement of certain performance conditions. In April 2022, the Company borrowed an additional $30 million on its Revolving Credit Agreement primarily to finance the acquisition of Chalk.com Education, Inc. John O'Connor of Hunton Andrews Kurth LLP acted as legal advisor for PowerSchool Holdings, Inc. Hunton Andrews Kurth LLP counsel to Bennett Jones LLP and Gowling WLG.
