Election of Director
OnOctober 7, 2021 , the Board of Directors ("Board") ofPPL Corporation ("PPL" or the "Company") electedHeather B. Redman a director of the Company, effectiveOctober 11, 2021 .Ms. Redman has served as a Managing Partner ofFlying Fish Partners since 2016. Flying Fish Partners is a venture capital firm investing in early stage artificial intelligence and machine learning startups, including energy-related applications. From 2014 to 2017 Ms. Redman served as the Vice President of Business Operations ofIndix Corporation , a big data artificial intelligence firm. From 2001 to 2014, she served as Principal and Senior Vice President ofSummit Power Group , leading projects involving utility scale wind and solar clean energy, as well as new natural gas plants. In addition,Ms. Redman holds a J.D. with distinction fromStanford Law School .Ms. Redman will serve on the Audit Committee and theFinance Committee of the Board. The Board has determined thatMs. Redman satisfies the requirements for "independence" as set forth in the Company's Independence Guidelines and the applicable rules of theNew York Stock Exchange . As a non-employee director,Ms. Redman will receive the same compensation paid to other non-employee directors of PPL in accordance with the policies and procedures previously approved by theBoard for non-employee directors. There were no arrangements or understandings pursuant to whichMs. Redman was elected, nor are there any relationships or related transactions between the Company andMs. Redman to be disclosed under applicable rules of theSecurities and Exchange Commission .
