           Appointment of Certain Officers; Compensatory Arrangements of Certain
           Officers.

On June 1, 2021, David Thomson, Ph.D., notified Precision BioSciences, Inc. (the "Company") of his resignation as the Company's Chief Operating Officer ("COO"), effective July 2, 2021. The Company will reassign the responsibilities of the COO to other members of the management and senior leadership team and use this opportunity to restructure the role in the organization.
