APPOINTMENT OF EXECUTIVE DIRECTORS AND COMMITTEES

Collegno (TO), May 18th 2020 - The Board of Directors of Prima Industrie S.p.A, a company leader in high technology laser systems, sheet metal working systems and electronic components for industrial applications, met today for the first time after its appointment by the AGM last May 12th.

The Board of Directors, on the basis of the information provided by the interested parties, assessed the existence of the integrity requirements of all directors, as well as the possession of the independence requirements, provided for by art. 148, paragraph 3 of the TUF (applicable pursuant to art. 147-ter, paragraph 4 of the TUF) and by the Corporate Governnace Code adopted by Borsa Italiana SpA, by the directors Donatella Busso, Francesca de Fraja, Paola Gatto, Carlalberto Guglielminotti and Giuliana Mattiazzo .

The Board also proceeded to:

• Assign executive powers to the Chairman, Gianfranco Carbonato, appointing him Executive Chairman and to the Deputy Chairman, Domenico Peiretti, appointing him Executive Deputy Chairman;
• Appoint Ezio Giovanni Basso as Chief Executive Officer, assigning him operational powers; the CEO was also appointed "employer" pursuant to art. 2 of Legislative Decree 81/2008;
• Appoint the Executive Chairman, Gianfranco Carbonato, Director in charge of the internal control and risk management system, with the task of monitoring the set up and maintenance of an effective internal control and risk management system;
• Designate the Independent Director Donatella Busso as Lead Independent Director (pursuant to the Corporate Governance Code promoted by Borsa Italiana S.p.A.);
• Appoint the Control and Risk Committee, with the following members: Donatella Busso (appointed Chairperson of this Committee), Francesca de Fraja and Paola Gatto; the Control and Risk Committee will also assume the role of Committee for Related Parties;
• Appoint the Remuneration Committee, with the following members: Francesca de Fraja, Mario Mauri and Paola Gatto;
• Appoint the Strategic Committee with the following members: Domenico Peiretti (appointed Chairperson of this Committee), Carlalberto Guglielminotti, Michael Mansour, Giuliana Mattiazzo and Mario Mauri; the Committee will have the task of supporting all the main strategic decisions of the Company and the Group;

Furthermore, since the term of the Vigilance Body (in accordance with Legislative Decree 231/01) has expired, the Board of Directors has renewed the appointment of this Body which will remain in office until the approval of the Financial Statements 2022. It is made up as follows: Davide Conforti (appointed Chairperson), Giorgio Gaetani and Claudia Verro.
