NEW APPOINTMENT

TO THE BOARD OF

DIRECTORS

PrimeTime Property Holdings Limited ('PrimeTime') is pleased to announce that Mr Massimo (Max) Marinelli has been appointed to the Board as an Independent Non- Executive Director with effect from 1 February 2022, subject to the ratification of the unitholders at Annual General Meeting.

Max is the former Country Managing Partner of Deloitte Botswana. During his distinguished career in public practice with Deloitte, spanning over 40 years served in South Africa and Botswana, he served 31 years as Partner in Botswana, until he retired from Deloitte on 31 May 2020.

Over the years, he provided extensive audit, tax, financial advisory, consulting, and corporate finance services to several large local entities, multi-nationals as well as some of Botswana's largest parastatals across all industries and sectors of the economy in Botswana.

While at Deloitte Botswana, Max also headed the Consulting and Corporate Finance Divisions and in his capacity as Project Director, he led several high-profile financial transactions and consulting projects. These include tax advisory, corporate restructurings, financial analysis, valuation of companies, financial and commercial due diligence, corporate reorganisations, and company listings on the Botswana Stock Exchange.

Max is a former Council Member and President of the Botswana Institute of Accountants and currently serves on the Disciplinary Committee of the Institute. He also holds several directorships and is an Independent Non-Executive Director of First National Bank of Botswana Limited and a member of the Board of Trustees of The Mokolodi Wildlife Foundation.

Max holds the following qualifications - Bachelor of Accounting Sciences (B-Compt - Unisa), Honours Bachelor of Accounting Sciences (Hon B-Compt - Unisa), and is a Certified Fellow Chartered Accountant Botswana and Chartered Accountants South Africa.

Max brings to the Board of PrimeTime his vast knowledge of business across all spheres of the economy, and experience in the areas of audit and accounting, finance, risk, governance, and strategy. We warmly welcome him to the Board.
