Prometheus Biosciences, Inc. (the "Company") announced that in connection with
the unexpected passing of Tadataka Yamada, M.D., the former Chairman of the
Company's Board of Directors (the "Board"), the Board has appointed Mark C.
McKenna to succeed Dr. Yamada as Chairman. Mr. McKenna is also the President and
Chief Executive Officer of the Company, positions he has held since September
2019. In addition, the Board has determined to appoint Joseph C. Papa to serve
as the Lead Independent Director. Mr. Papa has served on the Board since August
2020. The Board also reduced its size from nine to eight directors to eliminate
the vacancy created by Dr. Yamada's passing and appointed Fred Hassan as chair
of the Nominating and Corporate Governance Committee, a role previously held by
Dr. Yamada.
