Item 5.02. Departure of Directors or Certain Officers; Election of Directors;

           Appointment of Certain Officers; Compensatory Arrangements of Certain
           Officers.

On June 11, 2021, Phillip Fernandez resigned from the Board of Directors of PTC Inc. (the "Company"), effective June 16, 2021. Mr. Fernandez's resignation was for personal reasons and not as a result of any disagreement with the Company on any matter relating to the Company's operations, policies, or practices.
