Annual General Meeting of Shareholders Held by FGC UES (Rosseti FGC UES)

On June 29, 2021, FGC UES (Rosseti FGC UES) held the Annual General Meeting of Shareholders in the form of a meeting with absentee voting.

The shareholders approved the Annual Report and the annual accounting (financial) statements for 2020.

The AGM decided on profit distribution for 2020 and resolved to pay dividends of RUB 0.016132865449 per ordinary share, totaling RUB 20,564,004 thousand.

The following persons were elected to the Board of Directors of FGC UES (positions as of the time of nomination):

  • Andrey Ryumin, Director General, ROSSETI;
  • Pavel Snikkars, Deputy Minister of Energy of the Russian Federation;
  • Yevgeny Grabchak, Deputy Minister of Energy of the Russian Federation;
  • Pavel Grachev, Director General, Polyus (as an independent director);
  • Igor Kamenskoy, Managing Director, Renaissance Broker (as an independent director);
  • Ernesto Ferlenghi, Executive Vice President, Moscow Representative Office, Eni S.p.A. (as an independent director);
  • Andrey Murov, First Deputy Director General, Executive Director, ROSSETI;
  • Nikolai Roshchenko, Member of the Board and Head of the Legal Department, Association NP Market Council;
  • Pavel Grebtsov, Deputy Director General, ROSSETI;
  • Alexander Zaragatsky, First Deputy Director General, ROSSETI (before May 20, 2021);
  • Larisa Romanovskaya, First Deputy Director General, ROSSETI (before May 20, 2021).
The following persons were elected to the Internal Audit Commission: Natalia Annikova, member of the Internal Audit Commission, Zarubezhneft; Yuri Goncharov, Chief Advisor, ROSSETI; Aleksey Kulagin, Deputy Department Director, Ministry of Energy of the Russian Federation; Anna Oleynikova, Lead Specialist-Expert, Federal Agency for State Property Management of the Russian Federation; and Ilya Khazov, Unit Head, Ministry of Finance of the Russian Federation.

In addition, the shareholders resolved to pay remuneration to members of the Board of Directors and the Internal Audit Commission for 2020. An alliance of Ernst & Young and DELOVOY PROFIL was approved as the Auditor of the Company. The AGM also addressed other issues required for consideration.

Andrey Ryumin, Director General, ROSSETI, said in his comment on the outcome of the AGM: 'Rosseti FGC UES's achievements in 2020 meet the interests of all stakeholders. The Company reached the operational targets related to the modernization and development of the Unified National Electric Grid and achieved positive financial and operating results despite lower electricity delivery from grids amid negative developments in the economy and social sphere.'
