ITEM 8.01 OTHER EVENTS.
The Company issued a press release on June 23, 2021 to announce that it has
entered into a definitive agreement to sell certain intellectual property and
other assets of its Heritage Brands business to Authentic Brands Group for a
cash purchase price of approximately $220 million, subject to a customary
adjustment. A copy of this press release is attached as Exhibit 99.1 to this
report.
The transaction, which is expected to close in the third quarter of the
Company's fiscal 2021 year, is subject to customary closing conditions,
including regulatory approval.
