Extraordinary report of RÁBA Plc. about drawdown of option concerning Rába treasury shares, notification of insider persons and change of the number of shares held by them

To meet its disclosure obligation RÁBA Automotive Holding Plc. informs the investors on the fol- lowing treasury shares transaction pursuant to the provisions of Paragraphs 201/B-C of the Capital Act and of Sections 1.13, 2.14, 2.6 of Annex No. 4. of the PM (Minister of Finance) Decree No 24/2008 (VIII.15.).

Within the Rába Management Share Option Incentive Programme altogether 90,000 Rába treasury shares were drawn down by employees of the company on December 17, 2015 at drawdown price of HUF 1,000. The drawdown was carried out by CIB Bank Zrt.

Accordingly, the total number of treasury shares at RÁBA Plc. decreased to 335,891 shares.

RÁBA Automotive Holding Plc., as issuer publishes the insider managing executives' notification according to Paragraph 201/B of the Capital Act.

"According to Paragraph 201/B of Capital Market Act CXX of 2001, we, the undersigned notify that

• we drew down the following number of Rába treasury shares on December 17, 2015 at draw- down price of HUF 1,000 within the Rába Management Share Option Incentive Programme, settled by CIB Bank Zrt. and

• we sold all the drawn down Rába treasury shares on December 17, 2015 at drawdown price of HUF 1,363 in fixed contracts carried out by Concorde Értékpapír Zrt."
