Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On November 5, 2020, the Human Capital Committee of the Board of Directors of R1 RCM Inc. (the "Company") approved a special, one-time cash bonus of $150,000 to Joseph Flanagan in recognition of the extraordinary efforts and significant contributions made by him in connection with the Company's acquisitions of scheduling.com, Inc. d/b/a SCI Solutions, Inc. and the RevWorks services business, as well as the divestiture of the Company's emergency medical services (EMS) business.
