Radiall shares delisted from Euronext Paris regulated market
Radiall informs its shareholders that after seven long years of work, its shares have been delisted today from the Euronext Paris regulated market, pursuant to Article 6905/3 of Book I of the harmonised market rules and Article P.1.4.2 of Book II of the non-harmonised market rules of Euronext Paris, following the definitive closing on 9 June 2017 of the simplified tender offer (the "Offer") initiated for this purpose by Hodiall and the other members of the Gattaz shareholders' agreement (the "Initiator").
In accordance with the commitments made by the Initiator, shareholders who have not tendered their shares in the Offer may still sell them at the same price (€252.50 per share) during a period of three months as of the closing date of the Offer, i.e. until the end of business on 11 September 2017. Incorporation of the statutory amendments approved by the Extraordinary General Meeting of 17 May 2017
In accordance with the Twelfth Resolution approved by the Extraordinary General Meeting of 17 May 2017, Radiall's Articles of Association have been amended as of today in order to reflect the new situation resulting from the delisting. In particular, shares must now be held in registered form.
Exceptional dividend related to the delisting
In accordance with the Fourth Resolution approved by the Ordinary General Meeting of 17 May 2017 and the press release published by the Company on 9 December 2016, Radiall will distribute an exceptional dividend of €1.30 per share to all its shareholders. The ex-dividend date will be 13 September 2017 and the dividend will be payable from 15 September 2017.
