DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATION ARRANGEMENTS OF CERTAIN OFFICERS.

On June 11, 2021, Regis Corporation (the 'Company') appointed Mr. Michael Mansbach to the Board of Directors of the Company, effective June 14, 2021. Mr. Mansbach was appointed to serve as a member of the Technology Committee of the Board of Directors. Mr. Mansbach will receive the Company's standard director compensation, which is described under the heading 'How Our Directors Are Paid' in the Company's proxy statement for its 2020 annual meeting of shareholders.
