Rejlers acquires Geosigma

Rejlers acquires 100% of the shares in the Swedish technical consultancy company Geosigma Holding AB that is expected to have a turnover of approximately SEK 175 million in 2020. Geosigma is mainly known for its leading competence within rock engineering, hydrogeology and soil contamination but has also has established market positions within geotechnical engineering, structural engineering for buildings and infrastructure as well as land, road, water and sewage project design. Geosigma strengthens Rejlers offering within these growth areas and increases its exposure to public customers.

Geosigma, founded in 1991, has offices in central Stockholm, Uppsala and Gothenburg. The company offers services within hydrogeology-, rock- and geotechnical engineering as well as structural engineering for buildings and infrastructure, landscape architecture and land, road, water and sewage project design. Geosigma is mainly known for its leading competence within rock engineering, hydrogeology and soil contamination. The company has over 140 employees, and has an expected turnover of approximately SEK 175 million in 2020. The EBITA margin is anticipated to reach approximately 8% for the same time period. Trafikverket and Svensk Kärnbränslehantering are among Geosigma's largest customers.

The purchase price amounts to approximately SEK 172 million and is paid with cash. Consolidation of Geosigma commences from 1 December 2020. From the first day, Geosigma will be implemented as a new business unit in Rejlers Sverige AB with Geosigma's CEO Per Aspemar as Head of Division and member of Rejlers Sweden's management team. With Geosigma, Rejlers will have its fifth industry focused business unit covering the whole of Sweden, from Malmö to Luleå, through around 40 offices. Integration and transaction costs related to the acquisition of Geosigma amount to approximately SEK 5 million as per the fourth quarter 2020.
