Rejlers acquires Helenius Ingenjörsbyrå

Rejlers acquires 100% of the shares in Swedish technical consulting company Helenius Ingenjörsbyrå AB ("Helenius") with an expected 2021 turnover of some SEK 100 million at an EBITA-margin exceeding 20%. Helenius is a leading technical consulting company within the domains of HVAC and project management, with approximately 70 employees and around 20 sub-consultants in Stockholm and Uppsala. The acquisition will strengthen Rejlers' offering within the division Buildings, particularly with regard to HVAC, environment, energy and project management and further strengthen the competitiveness in the market, especially concerning large assignments.

Helenius, founded in 1965, has offices in Stockholm and Uppsala. The company offers services within HVAC, environment and energy, and is especially well known for its market leading domain knowledge within HVAC and project management. Helenius has been involved in and contributed to a number of well-known projects, such as Slussen, Biomedicum, the Celsius project and NAV, which is a relatively new project relating to the construction of a new emergency hospital in Västerås.

The company currently employs around 70 people and some 20 sub-consultants with an expected 2021 turnover of some SEK 100 million at an EBITA-margin exceeding 20%. The expected turnover and profit levels are well in line with performance during the past few years.

The acquisition of Helenius will mean that Rejlers will increase its annual turnover within Buildings Sweden from SEK 360 million to SEK 460 million. It is a strategic imperative to Rejlers to be and remain a leading technical consulting company within the construction and real estate industries where the Swedish real estate portfolio is rapidly developing towards increased sustainability, energy efficiency and digitalisation. With Helenius, Rejlers Buildings will significantly strengthen its market position and complementing offering portfolios will result in a complete total service portfolio, including increased bandwidth and expertise with the domains of electricity, HVAC, environment, energy, and project management. The acquisition of Helenius will make Rejlers a strong full service provider in the market. 

The initial purchase price amounts to SEK 165 million, to be paid in part in newly issued shares of Series B in Rejlers corresponding to a value of SEK 61 million, and in part in cash of SEK 104 million. In addition, Rejlers may under certain conditions and subject to certain profitability targets for the coming three years being met, pay a total additional purchase price of a maximum of SEK 50 million.

Helenius is expected to be consolidated as a separate business area under the Buildings division in the group accounts of Rejlers Sverige AB as of 1 February 2022.
