Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI LODR"), the following intimation is given:

1. Completion of term of two independent directors:
   Prof. Dipak Jain (DIN: 00228513) and Dr. Raghunath Mashelkar (DIN: 00074119), Independent Directors of the Company, ceased to be Directors of the Company upon completion of their term on July 20, 2022.
   Prof. Dipak Jain and Dr. Raghunath Mashelkar, joined the Board of Directors of the Company in the year 2005 and 2007, respectively.
   The Company places on record its sincere appreciation for the contribution made by Prof. Dipak Jain and Dr. Raghunath Mashelkar, during their tenure on the Board of the Company.
2. Resignation of Shri K.V. Chowdary (DIN: 08485334) as non-independent director and his appointment as an additional director designated as an independent director
   The Human Resources, Nomination and Remuneration Committee of the Board of Directors of the Company at its meeting held on July 15, 2022 recommended the appointment of Shri K.V. Chowdary (DIN: 08485334) (a non-independent director of the Company) as an independent director of the Company.
   Shri K.V. Chowdary stepped down as a non-independent director of the Company from the close of business hours of July 20, 2022.
   The Board considered and approved the appointment of Shri K.V. Chowdary as an additional director designated as an independent director with effect from July 21, 2022. The term of his appointment as an independent director will be for a period of 5 years, subject to the approval of shareholders.

Chowdary, is not debarred from holding the office of Director by virtue of any order passed by SEBI or any other such authority.

Brief Profile - Shri K.V.Chowdary

Shri K. V. Chowdary is a graduate in Mathematics from Loyola College Chennai and Post Graduate in Mathematics from IIT, Chennai.

He started his career as a probationary officer in Andhra Bank. He later joined Indian Revenue Service in 1978.

He served as an Under Secretary in Department of Revenue and as a Deputy Secretary in the Department of Company Affairs. He held several executive positions in the Income Tax Department and retired as the Chairman of CBDT. On Superannuation, he served as an Advisor to the Department of Revenue.

Later he was appointed as the Central Vigilance Commissioner from June 2015 to June 2019.

He was elected as a Member of the Executive Committee of International Association of Anti-Corruption Agencies. He was a Member on the Advisory Board of Comptroller and Auditor General of India. He attended and made presentations in several international conferences in India and abroad on issues relating to Taxation, Investigation, Anti corruption and other issues.

Currently, he is an independent director in three equity listed companies, namely CCL Products (India) Limited, Divi's Laboratories Limited, Tata Motors Limited. He is the Non-executive Independent Chairman of Eugia Pharma Specialities Limited. He is an Independent Director of Reliance Jio Infocomm Limited, GMR Varalakshmi Foundation (Sec 8 Co) and Genome Foundation (Sec 8 Co).
