POLL RESULTS OF THE 2021 FIRST EXTRAORDINARY GENERAL MEETING

Reference is made to the circular (the "Circular") of RemeGen Co., Ltd.* ࿲׹͛يႡᖹ€๧̨ ٰ΅Ϟࠢʮ̡ (the "Company") incorporating, amongst others, the notice (the "Notice") of 2021 first extraordinary general meeting of the Company (the "EGM") dated March 5, 2021. Unless the context otherwise requires, capitalized terms used herein shall have the same meanings as those defined in the Circular.

POLL RESULTS OF THE EGM

The Board is pleased to announce that the EGM was held at 58 Middle Beijing Road, Yantai Development Zone, Yantai Area of Shandong Pilot Free Trade Zone on Tuesday, March 23, 2021 at 2:00 p.m.

As at the date of the EGM, the issued Shares of the Company and the total number of shares entitling the holders to attend and vote on the resolutions proposed at the EGM was 489,836,702 Shares, comprising 239,294,291 Domestic Shares, 132,193,534 Unlisted Foreign Shares and 118,348,877 H Shares.

Shareholders (including proxies) representing 407,878,715 Shares (including 228,372,537 Domestic Shares, 127,062,149 Unlisted Foreign Shares and 52,444,029 H Shares) or approximately 83.2683% of the total issued Shares of the Company attended the EGM.

To the best knowledge, information and belief of the Company: (1) there were no Shares entitling the holder to attend and abstain from voting in favour of the resolutions proposed at the EGM as set out in rule 13.40 of the Listing Rules; (2) no Shareholder was required under the Listing Rules to abstain from voting on the resolutions proposed at the EGM; and (3) no party has stated any intention in the Circular to vote against or to abstain from voting on any of the resolutions proposed at the EGM.

As more than two-thirds of the vote was cast in favour of the special resolutions numbered 1 and 2 above, the resolutions were duly passed.

The H share registrar of the Company, Computershare Hong Kong Investor Services Limited, acted as the scrutineer for the vote-taking at the EGM. Two representatives of the Shareholders, one lawyer of King & Wood Mallesons and one supervisor of the Company participated in the scrutiny of the poll results.
