Avis aux porteurs d'obligations ORPAR zéro coupon échéance 15 juillet 2019 (Code ISIN FR0012188340) (les « Obligations ») échangeables en actions existantes REMY COINTREAU Ajustement du ratio d'échange des Obligations

Les titulaires des Obligations sont informés que l'Assemblée Générale des actionnaires de Rémy Cointreau réunie le 26 juillet 2016 a décidé de procéder au versement d'un dividende de 1,60 euro par action au titre de l'exercice 2015-2016.

En conséquence, à compter du 3 octobre 2016, le Ratio d'Echange des Obligations calculé par application de la clause 5 (a) 9 de la note d'opération faisant partie du prospectus relatif aux Obligations visé par la Bourse du Luxembourg le 3 février 2015, est de 1 125 actions Rémy Cointreau pour une Obligation.

Le nombre d'actions Rémy Cointreau sous séquestre sera corrélativement ajusté.

Notice to the holders of ORPAR Zero coupon Bonds due July 15, 2019 (ISIN Code FR0012188340) (the « Bonds ») exchangeable for existing ordinary shares of REMY COINTREAU Adjustment of the Exchange Ratio of the Bonds

Holders of the Bonds are hereby informed that the Shareholders meeting of REMY COINTREAU decided on July 26th, 2016 to vote a dividend of 1,60 per share for the 2015-2016 financial year.

As a result, as of October 3rd 2016, the Exchange Ratio of the Bond calculated as set forth by clause 5

(a) 9 of the Terms and Conditions of the Bonds as approved by the Luxembourg Stock Exchange on February 3rd, 2015 is 1,125 Rémy Cointreau Shares for one Bond.

Number of Rémy Cointreau Shares held under escrow shall be accordingly adjusted.

Words with a capital letter have the meanings given to them in the Terms and Conditions of the Bonds.
