RENO DE MEDICI S.P.A.: OUTCOME OF EXERCISE OF CONVERSION OPTION OF CONVERTIBLE

SAVING SHARES INTO ORDINARY SHARES. EXERCISE PERIOD: SEPTEMBER 1st - SEPTEMBER 30th, 2021. VARIATION IN SHARE CAPITAL COMPOSITION.

Milan, October 6, 2021. With reference to the previous communication of August 31st 2021, notice is hereby given that, in the exercise period 1st - 30th September 2021, a total of 8.944 convertible saving shares were converted into Reno De Medici S.p.A. ordinary shares, on the basis of 1 newly issued ordinary share - with dividends and other entitlements accruing January 1st 2021 (coupon n. 15) - per 1 convertible saving share - with dividends and other entitlements accruing January 1st 2021 (coupon n. 15) - to be cancelled upon conversion.

Consequently, the share capital of Reno De Medici S.p.A., unchanged in the amount of Euro 140.000.000,00, is now composed by n. 377,800,994 shares without nominal value, subdivided into:

• n. 377.568.824 ordinary shares;
• n. 232.170 saving shares, convertible into ordinary shares upon shareholders request in February and

September of each year.

The Articles of Association updated with the new share capital composition (Article 5) filled at the Milan Business Register on October 6, 2021 is available on the website www. rdmgroup.com - subheading 'Governance' - and through the Authorized Storage System "eMarketStorage" (www.emarketstorage.com).

Here attached, also pursuant to Article 85 bis of Consob Regulation No. 11971 of May 14, 1999, "Modello per la comunicazione delle variazioni di capitale sociale", according to Article IA 2.3.4 of "Istruzioni al Regolamento dei Mercati Organizzati e Gestiti da Borsa Italiana S.p.A.".
