On March 29, 2022, Republic Services, Inc filed a definitive proxy statement soliciting proxies and urged the shareholders to vote against a shareholder proposal, requesting the Board of Directors' Management Development & Compensation Committee to amend Republic's compensation clawback policy, as applied to senior executives, to add that the Committee will review and determine whether to seek recoupment of incentive compensation paid, granted or awarded to a senior executive , submitted by SOC Investment Group at the Company's annual shareholders meeting scheduled to be held on May 16, 2022.
