Item 8.01             Other Events.

On January 20, 2022, the Board approved a dividend of $0.14 per share on the Company's common stock. The dividend is payable March 17, 2022, to shareholders of record at the close of business on February 17, 2022. The Company's board of directors will assess and approve future dividends quarterly. The full text of the Company's press release, issued on January 21, 2022, announcing the quarterly dividend payment is included as Exhibit 99.1 to this report.
