On September 23, 2024, the Board of Directors (the Board") of Reynolds Consumer Products Inc. (the Company"), acting upon the recommendation of the Compensation, Nominating and Corporate Governance Committee (the CNG Committee") of the Board, elected Rolf Stangl to the Board, effective on that date. Mr. Stangl will serve as a Class III director for a term expiring at the Company's 2026 annual meeting of stockholders and until his successor is elected and qualified. Mr. Stangl was also appointed as non-executive Chairman of the Board and as a member of the CNG Committee effective on that date.
Mr. Stangl has served as an independent member of the Board of Directors of Pactiv Evergreen Inc. since September 2020, as a member of its Audit Committee since August 2021 and as a member of its Compensation Committee since July 2022. He previously served as a member of Pactiv Evergreen Inc.'s Nominating Committee from September 2020 to March 2024. Since January 2022, Mr. Stangl has also served as a Senior Advisor to Apollo Global Management Inc. and as a member of the Board of Directors of Reno de Medici S.p.A., a leading producer of recycled cartonboard in Europe.
Since October 2022, he has served as a member of the Board of Directors, and from January 2023 through March 2023 he served as interim co-CEO, of Ingenico, a portfolio company of Apollo specializing in payments terminals and solutions. Mr. Stangl previously served as CEO of SIG Group AG, a global provider of packaging solutions, stock listed in Switzerland, from 2008 to December 2020. Before becoming CEO of SIG in 2008, Mr. Stangl held a number of positions within SIG, including Head of Corporate Development and M&A, Chief Executive Officer of SIG Beverage (a division subsequently divested) and Chief Market Officer.
Previously, he was an Investment Director for small and mid-cap buyouts at a family office in the United Kingdom and a Senior Consultant with Roland Berger Strategy Consultants in Germany. Mr. Stangl received a Bachelor of Business Administration from the cole Sup rieure de Commerce de Reims and the European School of Business at Reutlingen. On September 18, 2024, Richard Noll, a director of the Company, notified the Company of his decision to resign as a director of the Company, effective immediately.
The Company thanks Mr. Noll for his service. Mr. Noll served in Class III of the Board and was the non-executive Chairman of the Board and a member of the CNG Committee. As described above, the Board elected Mr. Stangl to fill the vacancy in Class III created by Mr. Noll's resignation.
