Resolutions of the annual general meeting of RISMA Systems A/S ("RISMA")
Today,
- The report on the activities during the past financial year was acknowledged and approved
- The audited annual report for the financial year 2021 was adopted
- The management were granted discharge from liability for the information in the annual report
- The loss of the year was carried forward in accordance with the adopted annual report
- The remuneration of the board of directors for the financial year 2022 was approved to remain unchanged compared to 2021
Rolf Hall , Lars Ankjer Jensen (re-election),Lars Nybro Munksgaard (re-election),Thomas Nielsen (re-election) andClaus Henrik Christiansen (re-election) were elected as members of the board of directorsKPMG P/S was elected asRISMA's auditor-
A new authorisation to the board of directors to issue warrants and to adopt the capital increase related to the exercise of warrants was granted in accordance with the new clause 7.3 which was adopted in the articles of association. As part of the resolution, it was decided (for clean-up purposes only) to delete clause 6.1 of the articles of association concerning the authorisation to the board of directors to increase the share capital due to the expiry of the authorisation on
31 December 2021 -
The entering into two loan agreements with
RISMA as the lender and the grant of authorisation to the CEO from time to time to make utilisation requests and repayments under the loan agreements was approved -
The chairman of the general meeting (with full right of substitution) was granted authorisation to register the resolutions with the
