Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 5, 2022, Sandra Elizabeth Taylor notified the Board of Directors (the "Board") of Rocky Mountain Chocolate Factory, Inc. (the "Company") of her decision to resign from the Board effective as of the conclusion of the Company's current fiscal year (February 28, 2023). Ms. Taylor's resignation was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
