INSTRUMENT OF FAILURE TO CONVENE

FOR THE EXTRAORDINARY SHAREHOLDERS MEETING

CALLED FOR NOVEMBER 17, 2021

In compliance with the call notice for the Extraordinary Shareholders Meeting of Santos Brasil Participações S.A. ("Shareholders Meeting" and "Company", respectively), called in accordance with the law and With the Company's Bylaws, as per the Call Notice published on October 26, 27 and 28, 2021, in the state register Diário Oficial do Estado de São Paulo and in the newspaper Valor Econômico, to be held on November 17, 2021, at 10 a.m., via the electronic system for distance participation and voting ("Digital Platform"), pursuant to article 21-V, items II and III of CVM Instruction 481/2009, the Legal Manager, Gabriel Jacques Moura - and Carla Rodrigues Paulsen, Legal Coordinator, attended the Shareholders Meeting, acting as Chair and Secretary, respectively. After starting the Meeting, the presiding board registered the presence, through the Digital Platform and remote voting forms sent within the normal time period, of holders of shares representing sixty-three point twenty-two percent (63.22%) of Company's capital, thereby failing to reach the quorum required for convening the Extraordinary Shareholders Meeting on the first call, of at least 2/3 or 66.67% of the capital with voting rights, as provided for in Article 135 of Federal Law 6,404, of December 15, 1976, as amended ("Brazilian Corporation Law"), for shareholders meetings whose purpose is to consolidate the Bylaws.

If the quorum for convening the meeting is not reached in accordance with Brazilian Corporation Law, management will disclose call notices for holding the Extraordinary Shareholders Meeting on second call.
