The Independent External Directors Nomination Committee

Tokyo (December 13, 2021) --- Shinsei Bank, Limited hereby announces that the Board of Directors resolved today that it has determined the establishment of an Independent External Directors Nomination Committee as follows:

Notice

As described in the "Notice of Result of the Takeover Bid by SBI Regional Bank Holdings Co., Ltd. and Changes of Parent Company, Largest Shareholder among Major Shareholders and Other Associated Company" announced on December 13, 2021, and as a result of the takeover bid by SBI Regional Bank Holdings Co., Ltd. for the Bank's shares, SBI Holdings, Inc. ("SBIHD") is expected to become a parent company of the Bank. At this conjunction; in light of SBIHD's proposal, the Bank will establish an Independent External Directors' Nomination Committee, which is a temporary and discretionary (non-statutory) committee to be set up within the Bank to nominate candidates for our new independent external directors through a transparent and objective process.

The Committee consists of the following members and the candidates nominated by the Committee will be proposed to the Bank's Nomination and Compensation Committee, and then proposed to the Board of Directors after the Nomination and Compensation Committee's resolution is passed. The Board of Directors will hold an extraordinary general meeting of shareholders around early February of 2022 in order to elect such candidates as directors of the Bank. The details of the date, time and place of the extraordinary general meeting of shareholders and its proposal will be announced as soon as they are decided at the meeting of the Board of Directors to be held in the future.
