SECOM CO., LTD. entered into a share purchase agreement acquire 80.2% stake in Toshiba Security Guard Corporation from Toshiba Corporation for ¥2.5 billion.

SECOM CO., LTD. (TSE:9735) entered into a share purchase agreement acquire 80.2% stake in Toshiba Security Guard Corporation from Toshiba Corporation (TSE:6502) for ¥2.5 billion on April 16, 2018. Under the terms of transaction, SECOM CO., LTD. will acquire 481 shares. Upon completion, Toshiba Security Guard Corporation will deconsolidate from Toshiba Corporation.

The transaction is expected to be completed at the end of August 2018. Advisory expenses of ¥100 million have incurred in the deal. SMBC Nikko Securities Inc. acted as financial advisor for SECOM.
