Item 5.02 Departure of Directors or Certain officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 23, 2022, Sukumar Rathnam informed ServiceNow, Inc. of his resignation from the Board of Directors (the "Board"), effective as of December 1, 2022. Mr. Rathnam's resignation was not a result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices. The Board expressed its appreciation for Mr. Rathnam's service to the Company and his invaluable contributions to the Board.

On October 25, 2022, Frederic B. Luddy expressed his intention to step back from his position as Chairman of the Board. Mr. Luddy will continue to serve as a member of the Board. The Board determined to combine the positions of Chairman and CEO with William R. McDermott, and Jeffrey A. Miller will continue in his position as Lead Independent Director.
