SERVIZI ITALIA: SIGNED THE CLOSING FOR THE ACQUISITION OF A BRANCH OF THE LAUNDRY COMPANY LAVANDERIA BOLOGNINI M&S S.R.L.

The agreement will allow Servizi Italia to diversify its activities in a wash-hire segment with interesting margins and will also have important benefits from a sustainability point of view.

Castellina di Soragna (PR), 1 October 2018

Following what disclosed on 3 September 2018, Servizi Italia herewith announces to have acquired today a company branch ("Business Branch") from the company Lavanderia Bolognini M&S S.r.l, including in particular: customer portfolio, employees, payables to employees, linen and textiles, trolleys used for linen transport, brand, contracts with transport providers and goodwill ("Operation").

Through this Operation, Servizi Italia will diversify its activity in the high quality wash-hire sector for private tourism facilities in North-Eastern Italy and estimates an increase of Euro 5.3 million (equal to the revenues registered in 2017 by the Business Branch) in its annual turnover.

The Operation takes effect from today and has been closed on the basis of a preliminary price of Euro 2.8 million. The price has been defined as a result of the due diligence activity and includes, among other things, tangible fixed assets with a net book value of Euro 1.1 million as at 31 July 2018 and net payables to employees of Euro 0.3 million. Parties will define the final price of the Business Branch within 40 working days from today, stated that it cannot be higher than the maximum price set at Euro 4 million (as already informed on 3 September 2018). Price will be calculated according to accounting results at the closing date (date of this press release).

In order to assure continuity to the Business Branch, Servizi Italia has also established a working relationship with Barbara Bolognini (sole Director of Lavanderia Bolognini M&S S.r.l.), who will therefore maintain commercial relations with customers belonging to the Business Branch itself.

PwC TLS law firm has been supporting Servizi Italia in due diligence and contract drafting activities.
