Postponing Announcement of the New Medium-Term

Management Plan and Forecasts of Consolidated Business Results for the Fiscal Year Ending February 28, 2022

Seven & i Holdings Co., Ltd. (the "Company") hereby announces that it has decided to postpone the announcement of its new Medium-Term Management Plan and its forecasts of consolidated business results for the fiscal year ending February 28, 2022, which it had planned to announce on April 8, 2021. Details are as follows.

1. Postponing Announcement of the New Medium-Term Management Plan and Forecasts of Consolidated Business Results for the Fiscal Year Ending February 28, 2022

As the Company announced "Notice Regarding the Timing of Acquisition of Shares and Other Interests Related to the Convenience Store Business and Other Business of U.S. Company Marathon Petroleum Corporation by a Subsidiary" on March 24, 2021, its consolidated subsidiary, 7-Eleven, Inc. and Marathon Petroleum Corporation continue to engage productively with the Federal Trade Commision in its review of the transaction. Both companies have previously referenced the first quarter of 2021 as the target for closing the transaction but now are targeting closing early in the second quarter of 2021, subject to customary closing conditions and the receipt of regulatory approvals, making it extremely difficult for the Company to make appropriate and rational performance forecasts.

Therefore the Company has judged that announcing the new Medium-Term Management Plan under these conditions would be premature and could cause confusion among shareholders and investors. Accordingly, the Company has decided to postpone the announcement of the new Medium-Term Management Plan, which had previously been scheduled for April 8, 2021.

Moreover, due to the aforementioned reasons, the Company will set its forecasts of consolidated business results and dividends for the fiscal year ending February 28, 2022 as undetermined at the time of the announcement of "Consolidated Financial Results for the Fiscal Year Ended February 28, 2021," which is scheduled to be disclosed on April 8, 2021.

As planned, the Company will on April 8, 2021 announce its consolidated financial results for the fiscal year ended February 28, 2021, but will not hold a financial results briefing.

2. Outlook

When the confirmation procedures of the U.S. Federal Trade Commission are completed and the aforementioned transaction is concluded, the Company will promptly provide an outline of the transaction, details of its new Medium-Term Management Plan and its forecasts of consolidated business results and dividends for the fiscal year ending February 28, 2022. In conjunction with this, the Company also plans to hold a briefing.
