SFC Energy holds successful virtual Annual General Meeting 2021 - Henning Gebhardt joins Supervisory Board as recognized corporate governance and ESG expert

Brunnthal/Munich, Germany, May 20, 2021 - SFC Energy AG (F3C:DE, ISIN: DE0007568578), a leading supplier of hydrogen and methanol fuel cells for stationary and mobile hybrid power solutions, successfully held its Annual General Meeting 2021 in purely virtual form yesterday. With about 30.3% of the share capital present at the time of voting, the resolutions proposed by the management were predominantly adopted.

CEO Dr. Peter Podesser looked back on the past fiscal year 2020, in which SFC Energy achieved strong results despite the corona pandemic. In addition, Dr. Podesser explained the most recent developments. These include the best starting quarter in the company's history. "We currently have strong momentum and see high demand for fuel cell solutions in all major customer markets. The current earnings development also shows that we have successfully mastered the endurance test of the corona pandemic and are now reaping the fruits of our labor," said Dr. Peter Podesser.

Further development of expertise and diversity on the Supervisory Board

The Supervisory Board is reconstituted and enlarged at the end of the Annual General Meeting in 2021. In order to meet the increased demands on tasks and its members in the course of its growth plans, the number of its members is being increased to four. Mr. Henning Gebhardt (Managing Director of GAPS GmbH) was newly appointed to the Supervisory Board and elected as Deputy Chairman of the Supervisory Board in the subsequent constituent meeting. Henning Gebhardt has accompanied SFC Energy for more than 15 years as an investor and as a significant shareholder for many years. "The future prospects of SFC already convinced me back then and I am very pleased to now be able to further support one of the most interesting growth companies on the German capital market with my expertise in corporate governance and ESG issues," says Henning Gebhardt.

At the same time, the current Chairman of the Supervisory Board, Tim van Delden, resigned from his mandate after nine years of service at the end of the Annual General Meeting. As the fourth member, Ms. Sunaina Sinha Haldea (Managing Partner at Cebile Capital LLP, London) joins the Supervisory Board of SFC Energy AG as first female member. She has a profound knowledge of the capital markets, has served on the boards of several international growth companies and is convinced of SFC's vision.

In addition to the two newly elected members, the Board consisting of four members is now comprised as follows:

- Mr. Hubertus Krossa, Chairman of the Supervisory Board (Independent consultant)

- Mr. Henning Gebhardt, Deputy Chairman of the Supervisory Board (Managing Director of GAPS GmbH)

- Mr. Gerhard Schempp, Member (Independent consultant)

- Ms. Sunaina Sinha Haldea, Member (Managing Partner at Cebile Capital LLP)

The election of new Supervisory Board members also marks the start of a transition to a staggered Board structure. In a staggered Board, the terms of office of the Supervisory Board members end at different times. In the future, two Supervisory Board members will be elected by the Annual General Meeting every two years, each with a term of office of only four years instead of the previous five years. The transition to a staggered Board allows for the composition of the Supervisory Board to be adapted to a changing environment more flexibly.

Important steps taken

In addition to the changes in the Supervisory Board, SFC Energy will be forming an Audit Committee that will deal with the monitoring of the accounting process, the effectiveness of the internal control system, the risk management system and the internal audit system, as well as the audit of the financial statements.
