SFS Group AG ("SFS") announces that the Joint Global Coordinators, on behalf of the banking syndicate, have exercised the over-allotment option of its Initial Public Offering ("IPO") of 992,420 shares at the offer price of CHF 64 per share in full.

Including the shares placed in connection with the over-allotment option, a total of 11,001,330 shares have been sold in the IPO of SFS, representing 29.3% of today's issued share capital. The total placement volume therefore amounts to CHF 704 million. The free float increases to approximately 34.2% and will further increase to about 45% upon expiry of the 12-month lock-up period. The 992,420 shares covering the over-allotment option are existing shares sold by the selling family shareholders.

In conjunction with the IPO Credit Suisse and UBS Investment Bank are acting as Joint Global Coordinators and Joint Bookrunners, along with Morgan Stanley as additional Joint Bookrunner. In addition, the banking syndicate includes Bank am Bellevue, Bank Vontobel AG as well as Zürcher Kantonalbank as co-lead managers, and St.Galler Kantonalbank AG as selling agent.

The selling family shareholders, certain other family shareholders as well as the members of the Board of Directors and the members of the Group Executive Board have entered into a 12-month lock-up agreement, while the SFS Group AG and certain other shareholders have entered into a 6-month lock-up agreement, starting on the first trading day, subject to customary exceptions. Certain selling family shareholders have entered into a longer lock-up agreement of 24 months for all or part of their shares.
