Shenzhen Refond Optoelectronics Co.,Ltd. (SZSE:300241) agreed to acquire 49% stake in StarMeet Lighting Technology Co.,Ltd. from Guangdong Jinglichuan Industrial Co., Ltd., Dongguan Zhongshuo Gongchuang No. 1 equity investment partnership, Chen Liping, Liu Geng'an and Wang Qin for CNY 24.5 million on October 12, 2018. The payment will be done in three installments. A first installment of CNY 8 million will be paid within 5 days since completion of the shareholder agreement, Shenzhen Refond Optoelectronics Co.,Ltd.’s articles of association and any other documents required for the transaction having been signed and becoming effective, Shenzhen Refond Optoelectronics Co.,Ltd. convening a board meeting in accordance with internal procedures to review and approve the transaction and other delivery prerequisites agreed in the agreement having been met. A second installment of CNY 10 million and a third installment of CNY 6.5 million will be made after completion of delivery of underlying equity. In another transaction, Zhou Wenhao agreed to acquire 2% stake in StarMeet Lighting Technology Co.,Ltd. from Guangdong Jinglichuan Industrial Co., Ltd., Dongguan Zhongshuo Gongchuang No. 1 equity investment partnership, Chen Liping, Liu Geng'an and Wang Qin. Prior to the transactions, Guangdong Jinglichuan Industrial Co., Ltd. held 43.03% stake, Chen Liping held 3.04% stake, Liu Geng’an held 1.52% stake, Wang Qin held 25.54% stake and Dongguan Zhongshuo Gongchuang No. 1 equity investment partnership held 7.04% stake. After the transactions, Dongguan Zhongshuo Gongchuang No. 1 equity investment partnership will hold no stake, Chen Liping will hold no stake, Liu Geng’an will hold 0.51% stake, Wang Qin will hold 25.38% stake and Dongguan Zhongshuo Gongchuang No. 1 equity investment partnership will hold 3.29% stake. The Board of Directors of Shenzhen Refond Optoelectronics Co.,Ltd. approved the transaction on October 12, 2018.
