Establishment of the Parent Company Transaction Screening Committee

Tokyo (Wednesday, March 23, 2022) --- Shinsei Bank, Limited ("Shinsei Bank") announced that it has decided to establish the Parent Company Transaction Screening Committee at the meeting of the Board of Directors held today. It is an advisory body to the Board of Directors to properly manage any potential conflict-of-interest transactions with its Parent Company Group.

Shinsei Bank has internal rules for conflict-of-interest transactions between directors and major shareholders and other related parties, and it has a system for appropriate management. Shinsei Bank has established the Parent Company Transaction Screening Committee to build a more prudent management system for conflict-of-interest transactions between the Bank or its subsidiaries and its parent company or group companies of the parent company from the viewpoint of protecting the interests of minority shareholders. The Parent Company Transaction Screening Committee will facilitate a system for preliminary examination and post-monitoring of all relevant business dealings. The committee is composed of all independent outside directors; and Audit & Supervisory Board members are also advised to attend these meetings and express their opinions.
