Shinsei Bank Responds to Media Report

Tokyo (Wednesday, October 20, 2021) --- Shinsei Bank, Limited (hereinafter, "Shinsei Bank") responds to the media report (Nikkei electronic version) tonight which stated that "Shinsei Bank is to decide on a conditional opposition opinion and to request SBI to lift the maximum number of shares to be purchased for the TOB". This report is not based on any facts announced by Shinsei Bank.

The board of directors of Shinsei Bank and the independent external directors council have been evaluating and reviewing the TOB for making an announcement on its opinion pertaining to the TOB. As Shinsei Bank announced in its press release, titled "Notice of Extension of Board of Directors' Evaluation Period regarding Takeover Defense Measures against TOB for Shinsei Bank's Shares by SBI Regional Bank Holdings Co., Ltd.", it extended the evaluation period until October 21, 2021. The board of directors' opinion is planned to be submitted to the meeting of the Board of Directors to be held on October 21, 2021. Shinsei Bank will announce its decisions and measures on the TOB related matters that should be disclosed in a timely manner.
