Subject: Notification on the Establishment of a Joint Venture Company of a Subsidiary To President, The Stock Exchange of Thailand

Siam Wellness Group Public Company Limited ("the Company") would like to inform that the Board of Directors Meeting on August 1 0 , 2 0 2 2 , agreed to allow Siam Wellness Lab Company Limited, a subsidiary of the Company, to establish joint venture companies as follows:

Company Name

Siam Wellness Amara Company Limited

Registered capital 1 million baht divided into 1 0 , 0 0 0 ordinary shares with a par value of 100 baht per share.

Shareholding Structure Siam Wellness Lab Co., Ltd. 51% and Amara Asia Co.,Ltd. 49%

Type of business	Clinic for consulting and treating sleep quality (Sleep Clinic) as well as
	developing various cannabis products for medical purpose.
Source of investment	Working capital within the business
Connected nature	The Company and its Subsidiaries There is no relationship with Amara Asia
	Company Limited in such a way that the joint establishment of the Company
	is considered a connected transaction.
Transaction Size	The establishment of Siam Wellness Amara Co., Ltd. has the transaction size
	based on the total value of consideration criterion, which has the highest result
	equal to 0.02%( calculated from the consolidated financial statements ended
	June 3 0 ,2 0 2 2 ) when combined with the acquisition of assets in the past
	6 months, It has not yet reached the criteria to prepare and disclose the
	information memorandum according to the Notification of the Capital Market
	Board No. TorJor. 20/2551 Re: Criteria for making significant transactions
	that are considered to be acquiring or disposing of assets (including those
	amended) and the Notification of the Board of Directors of the Stock
	Exchange of Thailand Re: Disclosure of Information and Acts of Listed
	Companies Concerning the Acquisition or Disposition of Assets B.E. 2004
