Item 1.01. Entry Into a Material Definitive Agreement.

On September 26, 2022, Sincerity Applied Materials Holdings Corp. (the "Company") entered into a consultancy agreement (the "consultancy Agreement") with MD Global Partners, LLC named therein (the "Consultant") relating to consulting and placement agent services to the company on a non-exclusive basis.

The term of this Agreement shall continue for a period of 12 months with an option to renew for an additional 12 months at the end of the term.

The foregoing description of the consultancy Agreement is not complete and is qualified in its entirety by reference to the full text of the Consultancy Agreement, which is attached to this Current Report on Form 8-K as Exhibit 1.1 and incorporated by reference herein.
