5.Cause of occurrence:
(1)Upon being listed, the Company promised to amend
articles 5 in the Procedures for Acquisition or Disposal
of Assets: The company shall not waive its capital
contribution to the Lucky Union Limited in the future
years; Lucky Union Limited shall not waive its capital
contribution to Sinmag Limited in the future years;
Sinmag Limited shall not waive its capital contribution
to Sinmag Equipment (China) Co., Ltd. in the future
years; Sinmag Equipment (China) Co., Ltd. shall not
waive its capital contribution to Sinmag Bakery
Equipment Sdn. Bhd. (Malaysia) and Wuxi New Order
Control Co., Ltd. in the future years.
If any of said companies must waive the capital
increase or disposal, it may do so upon special
resolution by the Company's board of Directors.
If there are any amendments to the above two items,
the company should input material information on the
market observation post system and report to the TPEx
for reference.
(2)In order to cooperate with the subsidiary Sinmag
Equipment (China) Co., Ltd. to apply for listing on
the Shenzhen Stock Exchange, it is intended to make
adjustments to the share release and the group's
organizational structure. The Company has responded to
the Letter No. Securities-TPEx-Supervision 1110200351
dated March 04, 2022 and agreed to makes changes to the
commitments. The shareholder resolution approved to
amend some provisions of the Procedures for Acquisition
or Disposal of Assets on May 31,2022.
