Resignation of executive Director, member of the executive committee, member of the strategy and investment committee and the chief engineer

The board (the "Board") of directors (the "Directors") of Sinotruk (Hong Kong) Limited (the "Company", together with its subsidiaries, the "Group") announces that Mr. Wang Shanpo ("Mr. Wang") has tendered his resignation as an executive Director, a member of the executive committee of the Company (the "Executive Committee"), a member of the strategy and investment committee of the Company (the "Strategy and Investment Committee") and the chief engineer of the Company with effect from 9 March 2020 due to change in work arrangements.

Mr. Wang has confirmed that he has no disagreement with the Board, and there are no matters relating to his resignation that needs to be brought to the attention of the shareholders of the Company.

The Board would like to express its sincere gratitude to Mr. Wang and acknowledge his great contribution to the Company during his tenure of service with the highest regard.

The Board also announces that Mr. Sun Chenglong ("Mr. Sun") has tendered his resignation as an executive Director, a member of the Executive Committee, a member of the Strategy and Investment Committee and the financial controller of the Group with effect from 9 March 2020 due to change in work arrangements.

Mr. Sun has confirmed that he has no disagreement with the Board, and there are no matters relating to his resignation that needs to be brought to the attention of the shareholders of the Company.

Appointment of executive Director, member of the Executive Committee and member of the Strategy and Investment Committee

The Board is pleased to announce that Mr. Liu Zhengtao has been appointed as an executive Director, a member of the Executive Committee, and a member of the Strategy and Investment Committee, with effect from 9 March 2020.

The biographical details of Mr. Liu are set out below:

Mr. Liu Zhengtao (劉正濤) ("Mr. Liu"), aged 49, is an engineer and holds a bachelor's degree. Mr. Liu joined Jinan Auto Manufacturing Factory (濟南汽車製造 總廠 , one of the predecessors of China National Heavy Duty Truck Group Company Limited (中國重型汽車集團有限公司) ("CNHTC", a controlling shareholder of the Company)) in July 1992. From January 2001 to December 2009, Mr. Liu held the positions of the deputy division head, the division head and the departmental head of the quality control department of Sinotruk Ji'nan Truck Co., Ltd. (中國重汽集團 濟南卡車股份有限公司, a non-wholly owned subsidiary of the Company and the shares of which are listed on the Shenzhen Stock Exchange (stock code: 000951)). From December 2009 to April 2015, he held the positions of the deputy general manager and the general manager of the sales department, and the executive general manager of Sinotruk Ji'nan Commercial Truck Co., Ltd.* (中國重汽集團濟南商用車 有限公司, a wholly-owned subsidiary of the Company). From April 2015 to October 2019, Mr. Liu held the positions of the general manager of the marketing department, the chairman of the procurement centre, and the head of procurement of CNHTC. Since November 2015, Mr. Liu has been a director of CNHTC-Hiab (Shandong)

Equipment Company Limited* (中國重汽集團希爾博(山東)裝備有限公司). Since October 2019, Mr. Liu has been the deputy general manager of CNHTC and concurrently holds the positions of the chairman of procurement centre and the head of procurement of CNHTC.

Mr. Liu will enter into a service agreement with the Company for a fixed term of three years and will receive emoluments of approximately RMB672,400 per annum, subject to retirement by rotation and re-election in accordance with the articles of association of the Company. Mr. Liu's remuneration was determined by the Board after considering the recommendation of the remuneration committee of the Company, which was made with reference to the remuneration of all executive Directors and the proposed duties and responsibilities of Mr. Liu. Mr. Liu's remuneration will be subject to annual review and adjustment by the Board based on its year-end evaluation and assessment.

Save as disclosed above, Mr. Liu (i) has no other relationship with any directors, senior management or substantial shareholders or controlling shareholders (as defined respectively in the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules")) of the Company, (ii) is not interested or deemed to be interested in shares or underlying shares within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong) (the "SFO"), and (iii) does not hold any other positions within the Company or other members of the Group and he has not been a director of any listed companies in the past three years.

Mr. Liu has not been involved in any of the events under Rule 13.51(2)(h) to (v) of the Listing Rules and there are no other matters in relation to the appointment of Mr. Liu that need to be brought to the attention of the shareholders of the Company.

The Board is pleased to announce that Ms. Qu Hongkun has been appointed as an executive Director, a member of the Executive Committee, a member of the Strategy and Investment Committee and the financial controller of the Group, with effect from 9 March 2020.

The biographical details of Ms. Qu are set out below:

Ms. Qu Hongkun (曲洪坤) ("Ms. Qu"), aged 39, is a senior accountant and a certified public accountant in the People's Republic of China (the "PRC"). She graduated from Harbin Institute of Technology (哈爾濱工業大學), the PRC and received a bachelor's degree in management majoring in accounting in July 2005. In the same year, Ms. Qu joined Weifang Diesel Engine Works (濰坊柴油機廠 ) (now known as Weichai Group Holdings Limited (濰柴控股集團有限公司), "Weichai Holdings"). From June 2010 to April 2016, she held various positions at Weichai Holdings, including the division chief and the assistant to the departmental head of the finance department. From April 2016 to February 2017, Ms. Qu was the financial controller and the departmental head of the finance department of Weichai Heavy-duty Machinery Co., Ltd.* (濰柴重機股份有限公司) (a company the shares of which are listed on the Shenzhen Stock Exchange (stock code: 000880)). From February 2017 to March 2018, she held the position of the departmental head of the finance department of Weichai Holdings. From May 2017 to March 2018, Ms. Qu served as a supervisor of Weichai (Weifang) After-sales Market Services Co., Ltd.* (濰柴(濰坊)後市場服務有限公司) and a supervisor of Baudouin (Weifang) Power Co., Ltd.* (博杜安(濰坊)動力有限公司). She was also a supervisor and the chairman of the supervisory committee of Weichai (Yangzhou) Yaxing Motor Company Limited* (濰柴(揚州)亞星汽車有限公司) from August 2017 to March 2018. From March 2018 to February 2020, Ms. Qu served as the departmental head of the financial management department of Shandong Heavy Industry Group Co., Ltd.* (山東重工集團有限公司), and a supervisor and the chairman of the supervisory committee of Shandong Shantui Machinery Co., Ltd.* (山東山推機械有限公司). Since April 2018, Ms. Qu has also been a supervisor of Taishan Property & Casualty Insurance Co., Ltd.* (泰山財產保險股份有限公司). Since February 2020, Ms. Qu has been the departmental head of the finance department of the Group.
