Società Cattolica di Assicurazione S p A : Sale of the shareholdings in IMA Italia S.p.A. and IMA Servizi S.c.a.r.l.

Verona, 21 March 2022. Cattolica Assicurazioni S.p.A., a subsidiary of Assicurazioni Generali S.p.A., announces that it has today finalised the sale of the investment held in IMA Italia S.p.A., 35% of its share capital, to Inter Mutuelles Assistance S.A. (for € 9.7 million) and the shareholding held, also through its subsidiaries, in IMA Servizi S.c.a.r.l. which amounts to 10% of its share capital, to IMA Italia S.p.A. (amounting to approximately €166.000). These sales will generate a modest capital gain.

The aforesaid transfers were implemented in execution of the purchase option that Inter Mutuelles Assistance S.A. exercised, in compliance with the provisions of the agreements in place, following the change of control of Cattolica (pursuant to article 72 of the Private Insurance Code) following completion of the takeover bid launched by Assicurazioni Generali.
