Società Cattolica di Assicurazione Società Cooperativa : Formalisation of the deeds of merger by incorporation of ABC Assicura and Berica Vita into Cattolica Assicurazioni

Verona, 3 December 2021. Following what has already been communicated on 21 July, 6 and 11 August 2021, it is noted that the deeds of merger by incorporation of the companies ABC Assicura S.p.A. and Berica Vita S.p.A. into Cattolica Assicurazioni S.p.A have been formalized today¹.

Assuming that the registration of the deeds of merger at the competent Register of Companies takes place by 31 December 2021, the mergers will be effective from 11:59 pm on 31 December 2021, with accounting and tax effects from 1 January 2021.

Once the filing and registration activities with the Register of Companies have been completed, the publication of the same deeds will be done in accordance with the law.

¹ It is recalled that the Procedure for the management of transactions with related parties approved by the Board of Directors of Cattolica was not applied to the transactions in question as this Procedure provides, among other things, the exclusion for intra-group transactions provided that (as, precisely, in the present case) in the companies involved have no significant interests as related parties of Cattolica outside of the Group to which they belong. It should also be noted that both ABC Assicura and Berica Vita are 100% controlled by Cattolica and are therefore excluded from the obligation to publish an information document.
